## Attorney-led closings and title

When Hennen Law serves as closing and title agent, the legal, title and closing aspects of the transaction are coordinated through one office, including issuance of title insurance through First American Title Insurance Company, for which Michael W. Hennen is a licensed title agent. Unlike a closing-only model, the firm can also prepare transaction-specific legal documents such as contract amendments, occupancy agreements, escrow agreements, easements, corrective instruments and seller-financing documents.

## Florida opinion letter / local counsel practice

Hennen Law serves as Florida local counsel and borrower's counsel for third-party legal opinions in commercial real estate financings where the mortgage encumbers Florida real property. Engagements commonly come from out-of-state transaction counsel, borrowers and sponsors organized in Delaware, California, New York and other states, and from lenders and lender's counsel requiring a Florida-law enforceability opinion as a closing condition. The audience is national; Florida local counsel is required for the Florida-law portion of the opinion even when the borrower has its own primary transaction counsel elsewhere.

Opinions provided include: enforceability of loan documents under Florida law; enforceability of the mortgage and assignment of leases and rents; form and sufficiency for Florida recording; Florida documentary stamp and intangible tax considerations; Florida usury compliance; lender remedies under Florida law; and Florida entity existence, good standing, power, authority and qualification to transact business in Florida. Where the borrower is organized outside Florida, entity authority is addressed by counsel in the state of organization, by express assumptions, or by a qualification opinion.

The firm maintains professional liability insurance in amounts required by institutional and multi-national lenders. Opinions are frequently prepared within a few business days of receiving the opinion form and loan documents, and flat-fee arrangements are often available.
